# PEACH TERMS OF USE

These Terms of Use (the **“Terms”**) govern access to and use of the websites, applications, interfaces, software development kits, APIs, smart contracts, protocols, tools and other products and services made available by or associated with **Peach Labs LTD**, a company incorporated under the laws of the British Virgin Islands (**“Peach,” “we,” “us” or “our”**).By accessing or using any Peach service, interface, software or smart contract, including by connecting a wallet, requesting or accepting a quote, submitting an intent, executing a transaction, or integrating with Peach through an API or SDK, you acknowledge that you have read, understood and agreed to these Terms.Your use of the Services is also subject to the **Peach Privacy Policy**, which explains how Peach may collect, use, disclose and protect information relating to users of the Services.If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services.

### 1. The Services

1.1 **“Services”** means the websites, applications, interfaces, smart contracts, protocols, APIs, SDKs, software, documentation, data, tools and other services or functionality made available by or through Peach from time to time.

1.2 Peach provides technology and infrastructure that may facilitate interactions with blockchain networks, digital assets, liquidity sources, market makers, solvers, protocols and other third parties.

1.3 Certain Services may enable users to create, sign, submit or execute instructions, orders, requests or intended outcomes (“Intents”), which may be evaluated, routed or executed through smart contracts, solvers, market makers, liquidity providers or other participants.

1.4 Peach may aggregate, route or otherwise provide access to liquidity, prices, quotes, execution opportunities, protocols or other information from multiple sources.

1.5 The Services may evolve over time and may include additional blockchain-based, financial or other functionality. Unless separate terms expressly apply, these Terms apply to all Services made available by Peach.

### 2. Non-Custodial Services

2.1 Unless expressly stated otherwise in relation to a particular Service, Peach provides the Services on a non-custodial basis and does not take custody of users' digital assets or private keys.

2.2 You remain responsible for your wallet, digital assets, private keys, passwords, devices and other credentials.

2.3 Transactions executed through public blockchain networks may be irreversible. Peach generally cannot reverse, cancel, modify or recover a transaction once it has been confirmed on the relevant blockchain.

2.4 If a particular Service operates differently from the general non-custodial model described above, additional terms or disclosures may apply to that Service.

### 3. Eligibility and Restricted Use

3.1 By accessing or using the Services, you represent and warrant that:(a) you have the legal capacity and authority to agree to these Terms;(b) your access to and use of the Services is lawful under all laws and regulations applicable to you;(c) you are not subject to sanctions or other legal restrictions that prohibit your use of the Services;(d) you are not using the Services for or on behalf of a person whose use would be prohibited; and(e) any assets used in connection with the Services are derived from lawful sources.

3.2 You must not access or use the Services if your access or use would be unlawful or prohibited under the laws or regulations applicable to you or Peach, including where you are located, resident, incorporated or otherwise subject to a jurisdiction in which use of the Services is legally restricted.

3.3 You are responsible for determining whether your access to and use of the Services is lawful in your jurisdiction.

3.4 Peach may restrict, suspend or prevent access to all or part of the Services where reasonably necessary for legal, regulatory, compliance, sanctions, security or risk-management purposes.

### 4. Trading, Quotes and Execution

4.1 Prices, routes, quotes, estimates, simulations and other trading information displayed or made available through the Services may be obtained or derived from multiple sources and may change at any time.

4.2 **Peach does not guarantee that any quote, route or execution opportunity represents the best price, best execution or most competitive route available in the market at any particular time.**

4.3 Peach does not guarantee the accuracy, completeness, timeliness, continued validity or availability of any price, quote, route, liquidity information, simulation, market data or other information made available through the Services.

4.4 A quote or route may expire, change, become unavailable or fail to execute because of market movements, liquidity changes, latency, network conditions, transaction ordering, third-party activity, technical issues or other circumstances.

4.5 The final execution price, amount received, fees or other transaction outcome may differ from estimates or information displayed before execution.

4.6 Solvers, market makers, liquidity providers and other participants may be independent third parties. Unless expressly stated otherwise, Peach does not control their conduct and does not guarantee their availability or performance.

4.7 Peach may use routing systems, algorithms, auctions or other mechanisms designed to identify or facilitate execution opportunities. No methodology can guarantee optimal execution under all market conditions.

4.8 You are responsible for reviewing the transaction details presented to you, including the relevant assets, amounts, prices, fees, slippage settings, networks and destination addresses, before signing or submitting any transaction.

### 5. Smart Contracts and Blockchain Transactions

5.1 Use of the Services may involve interactions with smart contracts, blockchain networks and decentralised protocols.

5.2 Smart contracts and related software may contain bugs, vulnerabilities, design flaws, configuration errors or unexpected behaviour, including issues that may remain undiscovered despite testing, audits or other security measures.

5.3 Blockchain networks may experience congestion, outages, forks, reorganisations, validator failures, changes to network rules, transaction delays, increased fees or other disruptions.

5.4 Transactions may fail, be delayed, execute differently from expectations or become economically unfavourable between submission and confirmation.

5.5 Peach is not responsible for assets sent to an incorrect address, incompatible smart contract or unsupported blockchain network, except to the extent directly caused by Peach's fraud or wilful misconduct.

### 6. Third-Party Services and Participants

6.1 The Services may interact with, integrate or rely upon third-party protocols, blockchains, wallets, solvers, market makers, exchanges, liquidity venues, bridges, oracles, RPC providers, validators, sequencers, custodians, data providers, stablecoin issuers or other services and infrastructure.

6.2 Peach does not control independent third parties and does not guarantee their security, availability, solvency, accuracy, performance or conduct.

6.3 The inclusion, routing to or integration of any third-party service does not constitute an endorsement, warranty or guarantee by Peach.6.4 Your interaction with a third party may also be governed by that third party's own terms, policies and risk disclosures.

### 7. APIs, SDKs and Developer Services

7.1 Peach may make APIs, SDKs, libraries, documentation, code or other developer tools available for use or integration with the Services.

7.2 Subject to these Terms and any additional licence or documentation provided by Peach, you are granted a limited, revocable, non-exclusive and non-transferable right to use such developer tools for lawful purposes.

7.3 You must not:(a) use the Services for unlawful, fraudulent or abusive purposes;(b) bypass or interfere with security controls, rate limits or access restrictions;(c) disrupt, overload or impair Peach infrastructure;(d) introduce malicious code or harmful content;(e) misuse API credentials or confidential access information;(f) falsely represent that any third-party product is operated, sponsored, endorsed or guaranteed by Peach; or(g) use the Services in a manner that materially harms Peach, its users or third parties.

7.4 Peach may impose or modify technical limits, authentication requirements, access conditions or rate limits from time to time.

7.5 Peach does not guarantee continued availability or backward compatibility of any API, SDK, endpoint, interface, data format or functionality.

### 8. Fees and Transaction Costs

8.1 Peach may charge fees for certain Services. Applicable Peach fees will generally be disclosed through the relevant interface, transaction or documentation.

8.2 You may also incur blockchain gas fees, spreads, liquidity-provider fees, third-party protocol fees or other costs that are outside Peach's control.

8.3 Fees and transaction costs may change over time.

8.4 You are responsible for reviewing applicable fees and costs before authorising a transaction.

### 9. No Financial Advice

9.1 Peach provides technology and infrastructure and does not provide investment, financial, legal, tax or accounting advice.

9.2 Nothing available through the Services, including prices, quotes, routes, rankings, analytics, token information, simulations or risk information, constitutes a recommendation or solicitation to buy, sell, hold, borrow, lend, provide liquidity or otherwise transact in any digital asset or financial product.

9.3 You are solely responsible for assessing the suitability, merits and risks of any transaction or strategy.

### 10. Risk Acknowledgement

10.1 You acknowledge that digital assets, blockchain networks and decentralised financial systems involve significant risks and may result in partial or complete loss of assets.

10.2 Such risks include, without limitation:(a) software bugs, smart-contract vulnerabilities, exploits, cyberattacks and malicious activity;(b) failures, disruptions or manipulation of blockchain networks, bridges, oracles and other infrastructure;(c) market volatility, price movements, slippage and insufficient liquidity;(d) delayed, unsuccessful or unexpected transaction execution;(e) failure, insolvency, misconduct or unavailability of third parties;(f) stablecoin depegging or loss of value;(g) changes to protocols, governance systems or economic incentives;(h) loss or compromise of wallets, private keys or credentials;(i) inaccurate, incomplete or delayed market or blockchain information;(j) changes in laws, regulations, taxation or regulatory treatment; and(k) other risks that may not currently be known, foreseeable or reasonably capable of being prevented.

10.3 Peach may use commercially reasonable efforts to develop, test, monitor, audit and protect its technology. However, **no code audit, security review, formal verification, monitoring system or other security measure can identify, prevent or eliminate all bugs, vulnerabilities, exploits, attacks, failures or losses.**

10.4 You access and use the Services at your own risk.

### 11. Availability, Maintenance and Changes

11.1 The Services are provided on an **“as is”** and **“as available”** basis.

11.2 Peach does not guarantee:(a) continuous or uninterrupted availability of the Services;(b) execution or processing within any particular period;(c) that the Services will be free of errors or defects;(d) continued support for any particular blockchain, token, protocol, wallet or integration; or(e) continued availability of any particular feature or functionality.

11.3 Peach may modify, upgrade, restrict, suspend or discontinue all or part of the Services where reasonably necessary for technical, security, operational, commercial, legal or regulatory reasons.

11.4 Peach may temporarily pause or restrict Services in response to suspected attacks, vulnerabilities, abnormal market conditions, network problems, third-party failures or other circumstances that Peach reasonably believes may create material risks.

### 12. Intellectual Property

12.1 Except for open-source software and third-party materials, Peach and its licensors retain all rights, title and interest in the websites, interfaces, proprietary software, branding, documentation, designs, databases and other materials forming part of the Services.

12.2 These Terms do not transfer any ownership rights to you.

12.3 Open-source components are governed by their applicable licences.

12.4 Peach's name, logos and branding may not be used in a manner that falsely suggests sponsorship, affiliation, endorsement or approval by Peach.

### 13. Prohibited Conduct

You must not use the Services:(a) for unlawful, fraudulent or deceptive activity;(b) in violation of sanctions, anti-money laundering or other applicable laws;(c) to engage in unlawful market manipulation or abusive trading activity;(d) to exploit, attack, disrupt or interfere with Peach or third-party systems;(e) to gain unauthorised access to accounts, systems or information;(f) to distribute malware, malicious code or harmful material; or(g) in any manner reasonably likely to materially harm Peach, its users or third parties.

### 14. Compliance and Access Restrictions

14.1 Peach may use third-party services, blockchain analytics, screening tools or other reasonable measures to identify potentially prohibited or high-risk activity.

14.2 Where necessary, Peach may request or rely upon compliance, screening or verification services performed by independent third-party providers. Peach does not routinely collect identity verification or KYC documentation directly unless expressly stated in connection with a particular Service.

14.3 Peach may restrict, suspend or terminate access to centrally operated components of the Services where reasonably necessary for legal, regulatory, sanctions, compliance, security or risk-management purposes.

14.4 Smart contracts deployed on public blockchain networks may remain independently accessible even if a Peach-operated interface is restricted or unavailable. Peach does not represent that it can prevent direct interaction with autonomous public blockchain software.

### 15. No Warranties

15.1 To the maximum extent permitted by applicable law, Peach disclaims all express, implied and statutory warranties relating to the Services, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, reliability, availability and security.

15.2 Without limiting Clause 15.1, Peach does not warrant that:(a) any quote, route, price, data or information is accurate, complete, current or the best available;(b) any transaction will execute successfully or at any particular price or time;(c) any Service will satisfy your particular requirements;(d) any security measure will prevent every attack, vulnerability or loss;(e) any digital asset, position or strategy will have or retain any particular value, liquidity or return; or(f) the Services will be continuously available or error-free.

### 16. Limitation of Liability

16.1 Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct or any liability that cannot lawfully be excluded or limited.

16.2 Subject to Clause 16.1, to the maximum extent permitted by applicable law, Peach Labs LTD and its affiliates, directors, officers, employees, contractors, developers and service providers shall not be liable for indirect, incidental, special, exemplary, punitive or consequential loss arising from or relating to the Services.

16.3 This includes loss of profit, revenue, opportunity, data, digital assets, anticipated return or market value.

16.4 Without limiting the above, Peach shall not be liable for losses arising from:(a) market movements, volatility or insufficient liquidity;(b) inaccurate, unavailable, expired or non-optimal quotes or routes;(c) failed, delayed or adverse transaction execution;(d) blockchain, protocol or smart-contract failures;(e) cyberattacks, exploits or malicious activity;(f) acts or failures of solvers, market makers, liquidity providers or other third parties;(g) wallet compromise, loss of credentials or user error;(h) regulatory, legal or tax changes; or(i) circumstances outside Peach's reasonable control.

16.5 Subject to Clause 16.1, Peach's aggregate liability to you arising from or relating to the Services shall not exceed the greater of:(a) the fees actually paid by you directly to Peach for the relevant Service during the twelve months preceding the event giving rise to the claim; or(b) **USD 100**.

### 17. Indemnification

You agree to indemnify and hold harmless Peach Labs LTD and its affiliates, directors, officers, employees and representatives from reasonable claims, liabilities, losses, costs and expenses arising from:(a) your material breach of these Terms;(b) your violation of applicable law;(c) your misuse of the Services; or(d) your infringement of another person's rights. This indemnity does not apply to the extent the relevant loss results directly from Peach's fraud, fraudulent misrepresentation or wilful misconduct.

### 18. Force Majeure

Peach shall not be responsible for any delay, interruption or failure of the Services caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, governmental or regulatory actions, internet or telecommunications failures, blockchain disruptions, critical infrastructure failures, third-party outages or other comparable circumstances.

### 19. Suspension and Termination

19.1 You may stop using the Services at any time.

19.2 Peach may restrict, suspend or terminate your access to centrally operated Services where reasonably necessary because of:(a) a breach of these Terms;(b) suspected unlawful or fraudulent activity;(c) sanctions or compliance requirements;(d) security or operational risks; or(e) legal or regulatory requirements.

19.3 Clauses that by their nature should survive termination, including those relating to intellectual property, risk acknowledgement, disclaimers, limitations of liability, indemnification and dispute resolution, shall survive termination.

### 20. Privacy

20.1 Peach's collection, use and disclosure of personal information in connection with the Services is described in the **Peach Privacy Policy**, as updated from time to time.

20.2 By accessing or using the Services, you acknowledge that you have reviewed the Privacy Policy and understand the practices described in it.

### 21. Changes to These Terms

21.1 Peach may update these Terms from time to time to reflect changes in the Services, technology, business practices, law or regulation.

21.2 Updated Terms will be made available through the relevant Peach website or interface and will indicate the date of the latest revision.

21.3 Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

### 22. Governing Law and Dispute Resolution

22.1 These Terms and any non-contractual obligations arising from or relating to them are governed by the laws of the British Virgin Islands.

22.2 Any dispute, controversy or claim arising out of or relating to these Terms or the Services, including any question concerning their existence, validity, interpretation, performance, breach or termination, shall be referred to and finally resolved by arbitration administered by the **Singapore International Arbitration Centre (“SIAC”)** in accordance with the SIAC Arbitration Rules in force when the arbitration is commenced.

22.3 The seat of arbitration shall be **Singapore**.

22.4 The tribunal shall consist of one arbitrator.

22.5 The language of the arbitration shall be English.

22.6 The law governing the arbitration agreement shall be Singapore law.

22.7 The arbitration proceedings and award shall remain confidential except where disclosure is required by applicable law, a competent authority, or for the recognition or enforcement of an arbitral award.

22.8 Nothing in this Clause prevents either party from seeking urgent interim, protective or conservatory relief from a court or tribunal of competent jurisdiction.

### 23. General

23.1 These Terms constitute the entire agreement between you and Peach concerning your use of the Services, unless separate written terms expressly apply to a particular Service.

23.2 Where separate product-specific terms apply, they supplement these Terms and prevail to the extent of any direct inconsistency.

23.3 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in effect.

23.4 Peach's failure or delay in exercising any right does not constitute a waiver of that right.

23.5 Peach may assign or transfer its rights or obligations under these Terms to an affiliate, successor or other entity operating or acquiring the relevant Services.

23.6 You may not assign your rights or obligations under these Terms without Peach's prior written consent.

23.7 Nothing in these Terms creates a partnership, joint venture, employment, agency or fiduciary relationship between you and Peach.
